Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the PRIXINI website at prixini.com and the PRIXINI mobile applications for iOS and Android (together, the “Services”), operated by Prixini Private Limited (“PRIXINI,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Services, you agree to these Terms and to our Privacy Policy, Health Data Policy, Medical Disclaimer, and AI Disclaimer, which are incorporated by reference. If you do not agree, do not use the Services.

• “Account” means your registered PRIXINI user account.
• “Content” means any information, text, images, documents, or data made available through the Services.
• “User Content” means Content you submit, including uploads, photos, reports, and messages.
• “AI Output” means insights, scores, recommendations, and content generated by our automated systems.

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and able to form a legally binding contract to use the Services. By using PRIXINI, you represent that you meet these requirements and that the information you provide is accurate. The Services are not directed to children.

To use certain features you must create an Account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for all activity that occurs under your Account. You may not impersonate others, create an Account for anyone else without authorization, or maintain more than one Account in a manner intended to abuse the Services.

You are responsible for safeguarding your login credentials and for any activity conducted through your Account. Use a strong, unique password and keep it confidential. Notify us promptly at support@prixini.com if you suspect unauthorized use. We are not liable for losses arising from your failure to secure your credentials.

You agree to:

• Use the Services lawfully and in accordance with these Terms;
• Provide accurate health and profile information (understanding that inaccurate inputs reduce the usefulness of AI Output);
• Only upload documents and images that you own or are authorized to submit;
• Not rely on the Services for medical, diagnostic, or emergency purposes;
• Consult qualified healthcare professionals for medical decisions.

You must not, and must not attempt to, do any of the following:

We may investigate and take action, including suspending or terminating Accounts, for any violation.

The Services use AI to generate insights and recommendations. AI Output is probabilistic, may be inaccurate or incomplete, and must be independently verified. You are solely responsible for how you use AI Output, and you agree not to rely on it for medical, diagnostic, legal, financial, or other consequential decisions. See our AI Disclaimer.

You retain ownership of your User Content. You grant PRIXINI a worldwide, non-exclusive, royalty-free licence to host, store, process, and display your User Content solely to operate and provide the Services to you (for example, to generate your insights and scores) and to improve the Services using de-identified data as described in our Privacy Policy and Health Data Policy.

You represent that you have the rights necessary to submit your User Content and that it does not violate any law or third-party right. You can delete your User Content and Account at any time, subject to limited retention for legal and operational purposes.

The Services and all associated materials — including the PRIXINI name and logo, brand assets, trademarks, source code, software, AI models and weights, designs, text, graphics, and generated templates — are owned by Prixini Private Limited or its licensors and are protected by copyright, trademark, and other laws. Except for the limited licence in Section 12, we grant you no rights in our intellectual property. You may not copy, modify, distribute, sell, or create derivative works without our prior written consent.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your own personal, non-commercial use. This licence does not permit resale, redistribution, copying, or commercial exploitation of the Services or any Content.

If you send us feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose without obligation or compensation to you. We may develop features that are similar or identical to your feedback.

We may offer beta, preview, or experimental features (“Beta Features”). Beta Features are provided “as is,” may be changed or withdrawn at any time, may contain bugs, and may be subject to additional terms. Your use of Beta Features is at your own risk. Future features and services may be added, changed, or removed at our discretion.

Some features may be offered on a paid basis now or in the future, including subscriptions, premium tiers, and free trials.

• Billing — paid plans may be billed through the Apple App Store, Google Play, or another payment processor. Their terms and billing rules apply.
• Auto-renewal — subscriptions may renew automatically unless cancelled before the renewal date. You can manage or cancel through your app-store account or in-app settings.
• Free trials — if a trial converts to a paid subscription, you may be charged unless you cancel before the trial ends.
• Refunds — except where required by law or the applicable app-store policy, fees are non-refundable. App-store purchases are subject to the store’s refund process.
• Price changes — we may change prices prospectively, with notice where required.

The Services integrate with or rely on third parties, including Apple, Google, cloud and database providers, analytics providers, and payment processors. Your use may be subject to their terms. We are not responsible for third-party services we do not control.

If you download the app from the Apple App Store or Google Play, you also agree to the applicable store terms. You acknowledge that these Terms are between you and PRIXINI, not with Apple or Google, and that Apple and Google are not responsible for the Services or for providing support, except as required by their policies. Where applicable, Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them.

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may impose limits on certain features or restrict access without liability. We perform maintenance and updates, which may cause temporary interruptions.

You may stop using the Services and delete your Account at any time. We may suspend or terminate your access immediately, without notice, if you violate these Terms, create risk or legal exposure, or engage in fraud or abuse. Upon termination, your licence ends and Sections that by their nature should survive (including Sections 8–13 and 19–25) will survive.

To the maximum extent permitted by law, Prixini Private Limited and its directors, officers, employees, contractors, advisors, affiliates, and licensors (the “Protected Parties”) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or health outcomes, arising out of or relating to your use of (or inability to use) the Services or any AI Output, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the Protected Parties’ total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the total amount you paid to PRIXINI in the twelve (12) months before the event giving rise to the claim, or (b) INR 5,000. Some jurisdictions do not allow certain limitations, so some may not apply to you.

You agree to indemnify, defend, and hold harmless the Protected Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Services; (b) your User Content; (c) your violation of these Terms or any law; or (d) your violation of any third-party right.

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to Section 23, the courts at Lucknow, Uttar Pradesh, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

We prefer to resolve concerns informally first. Please contact legal@prixini.com before initiating a formal dispute, and we will try to resolve it in good faith.

If a dispute cannot be resolved informally within 30 days, it will be finally resolved by arbitration conducted under the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration will be Lucknow, Uttar Pradesh, India, the arbitration will be conducted by a sole arbitrator appointed in accordance with the Act, and the language will be English. The award will be final and binding. Nothing here prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.

You consent to receive communications from us electronically, including by email, in-app messages, and notices posted within the Services, and you agree that these satisfy any legal requirement that communications be in writing. We may send you service, security, and transactional messages. Legal notices to us should be sent to legal@prixini.com.

• Entire agreement — these Terms and the documents they reference are the entire agreement between you and PRIXINI and supersede prior agreements.
• Severability — if any provision is held unenforceable, the remaining provisions remain in full force.
• Waiver — our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment — you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Survival — provisions that by their nature should survive termination will survive.
• Headings — headings are for convenience only and do not affect interpretation.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
